Data License Agreement

This Agreement governs data you create, upload, or import through Appraiser Guru. It is incorporated into the Terms of Service.
BY USING THE SERVICE YOU AGREE TO SECTIONS 1 THROUGH 4 AND 8 THROUGH 11. SECTIONS 5 THROUGH 7 APPLY ONLY IF YOU APPLY FOR AND ARE ADMITTED TO THE DATA SHARING POOL, WHICH IS OPTIONAL.
1. Definitions
Your Data — appraisal reports, property data, comparable records, adjustment values, market analysis, photographs, sketches, and other content you create or upload.
Member Documents — files you upload or store that are not property or market data: engagement letters, correspondence, working notes, client communications, workfile materials, personal files, and any attachment you designate as private.
Property and Market Data — the categories listed in §5.1.
Excluded Data — the categories listed in §5.3. Excluded Data never enters the Pool and is never licensed for commercial use.
Pool — the shared data set available to admitted members.
Aggregate Statistics — figures computed across multiple contributors and reported only where no individual contributor, client, or assignment can be identified.
Admission — Tarnwick's approval of your application to join the Pool, under §6.
2. Your Ownership
You retain full ownership of Your Data. Nothing here transfers ownership. You may access, copy, export, modify, or delete Your Data at any time, subject to §7 for data already contributed to the Pool. Your ownership survives termination. Tarnwick™ will never claim ownership of Your Data; all rights below are limited licenses.
3. Service License — applies to all users
You grant Tarnwick a non-exclusive, worldwide, royalty-free license to store, process, copy, display, and transmit Your Data as necessary to provide the Service to you.
You also grant Tarnwick a non-exclusive, worldwide, royalty-free license to analyze Property and Market Data to operate, maintain, and improve the Service, including to develop, train, and evaluate the models and algorithms that power Appraiser Guru's features.
This license does not extend to Member Documents. Tarnwick does not analyze, train on, or otherwise use Member Documents to develop its products. From an uploaded document Tarnwick extracts only Property and Market Data; the document itself remains yours.
This license does not permit commercial licensing to third parties. Rights to license, sell, or sublicense data to third parties arise only under §5, and only for members admitted to the Pool.
4. Restrictions on Tarnwick
Tarnwick will not:
- sell or disclose Your Data in individually identifiable form;
- provide your individual reports to third parties;
- share client, borrower, lender, or occupant identities;
- identify you in any dataset provided to a third party;
- provide Your Data to appraisal management companies, lenders, or regulators without legal process or your consent;
- attempt to reverse anonymization;
- use Your Data to compete against you in the provision of appraisal services;
- use Member Documents to develop, train, or improve any product.
5. Pool License — applies on Admission only
5.1 What is contributed
On and after Admission, the following becomes Contributed Data:
- property identification and location, including address, parcel identifiers, and coordinates;
- physical characteristics: living area, room and unit counts, construction type, year built, site size, design, materials, systems, and improvements;
- condition and quality ratings;
- sale, listing, contract, and rental history — prices, dates, terms, days on market, financing and concessions;
- market adjustment values and the analysis supporting them;
- cost approach and income approach inputs and results;
- neighborhood and market-area analysis, per §5.2;
- appraisal fee data, subject to §5.4;
- data source attributions and verification results.
5.2 Narrative
Area-general narrative is contributed. Descriptions of a neighborhood, market area, or regional condition — boundaries, trends, typical construction and price ranges, marketability — describe an area rather than a property and are Contributed Data.
Assignment-specific narrative is not. Your reconciliation, opinion of value for a specific assignment, condition commentary on a particular property, and scope-of-work statements remain your work product and do not enter the Pool.
No verbatim republication. Area-general narrative informs analysis generated for other members. Tarnwick will not republish your narrative text verbatim into another member's report.
5.3 Excluded Data — closed list
The following never enters the Pool:
(a) names and identifying information of borrowers, owners, occupants, and tenants; (b) lender, client, and appraisal management company identities and contact information, except as permitted for Aggregate Statistics under §5.4; (c) loan, file, order, and case numbers; (d) your name, signature, license credentials, and contact information as associated with a specific property record; (e) Member Documents; (f) assignment-specific narrative under §5.2; (g) any other personally identifying information of a natural person.
This list is exhaustive as to categories of exclusion. Anything within §5.1 and not within this list is Contributed Data.
5.4 Appraisal fee data
Fee data is contributed solely for inclusion in Aggregate Statistics.
Aggregation required. Never disclosed, displayed, or licensed in a form attributable to an individual appraiser, client, or assignment.
Minimum threshold. No figure is reported unless computed from at least five contributing appraisers, with no single contributor accounting for a disproportionate share of the underlying records.
Historical only. Completed assignments only. Pending, offered, or proposed fees are excluded.
Market information, not guidance. Aggregate Statistics describe historical market conditions. Tarnwick does not recommend, suggest, or establish fees, does not identify any offered fee as above or below market, and does not provide pricing guidance. Each member sets fees independently.
5.5 The grant
Subject to §5.3, you grant Tarnwick a perpetual, irrevocable, worldwide, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, modify, combine, aggregate, analyze, derive works from, display, distribute, and commercially exploit Contributed Data, including licensing it to third parties.
5.6 Why it is irrevocable
Contributed Data becomes part of a shared resource. Once another member has relied on a comparable record in a completed appraisal, that reliance cannot be undone. Contributed Data cannot be withdrawn from the Pool after contribution. §7 governs deletion on termination.
5.7 No compensation; discretionary future programs
Admission to the Pool and continued access to it are full and complete consideration for the license in §5.5. No royalty, revenue share, or other compensation is or will be owed for Contributed Data.
Tarnwick may, at its sole discretion and at any time, establish a program offering benefits or compensation to contributors. Any such program would be separate from this Agreement, voluntary, offered on its own terms, and would neither expand nor limit the license granted here. Nothing in this section obligates Tarnwick to establish such a program, and you acquire no right or expectation of one.
6. Admission
Membership in the Pool requires Tarnwick's approval, granted at Tarnwick's discretion based on verification of your identity and credentials, the completeness and integrity of data you have contributed, the absence of unresolved data-integrity concerns, and your compliance with this Agreement and the Data Sharing Pool Agreement.
Tarnwick maintains this requirement to protect the integrity of the Pool. The license in §5.5 is granted upon Admission and applies from that point forward. An applicant who is not admitted grants no license under §5, and their data does not enter the Pool.
Tarnwick may suspend or revoke Pool access for breach, for conduct compromising data integrity, or under §9. Revocation ends access prospectively; it does not withdraw Contributed Data already in the Pool, and §5.5 survives.
No warranty on Pool data. Pool data is provided as-is. Tarnwick does not warrant its accuracy, completeness, or fitness for any purpose. You are solely responsible for verifying any data you rely on and for your own professional work, including compliance with the Uniform Standards of Professional Appraisal Practice and applicable law.
7. Termination
You may terminate at any time. On termination:
- You may take your data with you. Tarnwick provides export of your reports, files, and Member Documents in a usable format.
- Your personal and private data is deleted — Member Documents, account information, contact details, credentials, and your identifying information, subject to §7.1.
- Your complete reports are removed from Tarnwick's systems and are not retained or made available to other members.
- Contributed Data already in the Pool persists and remains subject to §5.5. It contains no Excluded Data by construction, so nothing identifying you or any party persists there.
7.1 Retention exceptions
Tarnwick may retain data as required by law, for the period necessary to resolve a dispute, or in routine backups pending expiration. Retained data is not used for any other purpose.
8. Your representations
You represent that you have the right to contribute Your Data; that doing so does not breach any obligation to a client, employer, or third party; and that data you contribute is accurate to the best of your professional knowledge.
9. Acceptable use
You will not:
(a) access or use the Service or the Pool to design, build, train, or improve a product or service that competes with Appraiser Guru; (b) reverse engineer, decompile, or attempt to derive the source code, data models, or methods of the Service, except where this restriction is unenforceable under applicable law; (c) access the Service or the Pool on behalf of or for the benefit of a competitor, including for benchmarking, feature analysis, or competitive research; (d) extract, scrape, or bulk-download Pool data by automated means, or extract Pool data beyond what is reasonably necessary for your appraisal practice; (e) resell, redistribute, license, or otherwise make Pool data available to any third party; (f) share account credentials or permit access by anyone other than you and your authorized staff.
What this does not restrict. Nothing here restricts your appraisal practice, your use of any other appraisal software, your employment, or your professional activities generally. It restricts using Tarnwick's service and data to build or assist a competing product.
10. Data portability
You may export your data at any time in MISMO XML, CSV, PDF, or ZIP format at no charge.
11. General
Governed by Michigan law. If any provision is unenforceable, the remainder stands. This Agreement, with the Terms of Service, Privacy Policy, and Data Sharing Pool Agreement, is the entire agreement regarding Your Data and supersedes all prior agreements on that subject, including any prior data sharing, contributor, or royalty agreement.
Tarnwick may modify this Agreement on notice. Material changes to the scope of §5.5 apply only to data contributed after you accept the change.
